NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

EACH BATTLE IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS AND IS VOID WHERE PROHIBITED BY LAW. PARTICIPATION IN A BATTLE CONSTITUTES FULL AND UNCONDITIONAL AGREEMENT WITH AND ACCEPTANCE OF THESE RULES. DO NOT ENTER IF YOU ARE NOT ELIGIBLE UNDER THESE RULES OR ARE NOT PHYSICALLY LOCATED IN A JURISDICTION IN WHICH BATTLES ARE OFFERED AT THE TIME OF ENTRY.

THESE RULES INCORPORATE SECTION 22 OF BANKROLL U’S TERMS OF SERVICE, WHICH INCLUDES MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS.

1. THE RULES. The following Battles Official Contest Rules (“Rules”) constitute a legally binding agreement between you (referred to herein as “you,” “your,” “user,” or “Entrant”) and Bankroll U LLC (“Bankroll U,” “we,” “us,” or “our”) governing participation in Bankroll U’s free-to-play sports prediction contests (each, a “Battle”). By agreeing to these Rules and participating in a Battle, you are confirming that you understand and accept these Rules. To participate in a Battle, you must maintain an active account with Bankroll U and agree to Bankroll U’s Terms of Service (“Terms”) and Bankroll U’s Privacy Policy.

These Rules govern and control all Battles offered through Bankroll U’s Service and are considered part of the Terms. Each Battle is also subject to the applicable Battle-specific terms and information displayed in the Service (“Battle Details”). All capitalized terms and phrases not otherwise defined in these Rules shall have the meanings given in the Terms.

In the event of a direct conflict or inconsistency between these Rules, the Terms, the Gameplay Rules, or the applicable Battle Details, the Battle Details shall control with respect to the Battle-specific terms set forth therein; these Rules shall otherwise prevail with respect to Battles, followed by the Gameplay Rules; and the Terms shall control with respect to matters not specifically addressed in these Rules, the Battle Details, or the Gameplay Rules.

2. BATTLES. Each Battle is a free-to-play sports prediction contest in which Entrants compete for a cash prize purse (the “Prize Purse”), which is allocated to winning Entrants as cash prizes (“Prizes”). Each Entrant receives the same initial amount (the “Starting Bankroll”) of virtual Battle bankroll (“Battle Bankroll”) to use in making sports predictions (“Picks”) during the Battle. Battle Bankroll has no cash or other monetary value and may not be purchased, deposited, transferred, sold, redeemed, or exchanged for anything of value.

The time and duration of each Battle, the applicable Starting Bankroll, Ranking Metric, available games or markets, Prize Purse, and Prize allocations will be displayed in the Battle Details. Entrants must enter the Battle and submit Picks within the applicable time periods displayed in the Service. Participation is subject to seat availability and any eligibility requirements applicable to the Battle.

If an Entrant’s Battle Bankroll is reduced to zero, the Entrant may not make any additional Picks in that Battle. Once a Battle begins, an Entrant’s Battle Bankroll may not be increased or replenished except through the settlement of winning Picks made in the ordinary course of the Battle.

ENTRANTS MAY NOT USE CASH, PRIZE WALLET FUNDS, OR ANY OTHER REAL-WORLD-VALUE CURRENCY TO PURCHASE OR INCREASE A BATTLE BANKROLL.

3. BATTLE WINDOW. The time and duration for each Battle, including the applicable entry and Pick submission periods, will be displayed by Bankroll U within the Service.

4. SPONSOR. Bankroll U administers all Battles offered through the Service. A Battle may be sponsored by Bankroll U or by a third-party sponsor. Bankroll U may be contacted at management@bankrollu.com or 30 N. Gould Street, Suite R, Sheridan, WY 82801.

5. ELIGIBILITY. A Battle entrant (“Entrant”) must be at least eighteen (18) years old and otherwise capable of forming a binding contract in their jurisdiction, and must be a natural person who is a legal resident of the United States who, at the time of entering a Battle and submitting Picks, must be physically located in a jurisdiction in which Battles are offered. By entering a Battle, you represent and warrant that you are eligible.

Bankroll U applies geolocation controls to determine whether Battles are available in the Entrant’s current location. Geolocation is checked before an Entrant joins a Battle and before submission of a Pick.

Employees and former employees (less than three (3) years since cessation of employment) of Bankroll U, any of its respective affiliates, advertising agencies, or any other company or individual involved with the design, production, execution, or distribution of the Service and their immediate family (spouse, parents, siblings and children, whether the relationship is by birth, marriage, or adoption) and household members (people who share the same residence for at least three (3) months of the year) may only enter a Battle for the purpose of testing the user experience, but may not redeem Prizes or consideration in any form. Bankroll U consultants or promoters of the Service may enter Battles without such limitation, but only if (i) their arrangement with Bankroll U does not permit them to have any access to the source code underlying the Service and (ii) they do not receive any other advantages in their participation in the Service.

Without limitation, professional league and collegiate athletes, coaches and other team management, team support personnel (e.g., without limitation, team physicians), and team owners may not enter a Battle. Professional league and collegiate team owners, referees, employees, commissioners, and other individuals who through an ownership interest or game-related employment can influence the gameplay are likewise ineligible to enter a Battle.

By entering a Battle, you are further bound by the representations and warranties in Sections 3 and 14 of the Terms. Battles are subject to all applicable federal, state, and local laws and regulations. It is the sole responsibility of Entrant to determine whether a Battle is legal and compliant with all regulations in the jurisdiction in which the Entrant is located at the time of the Battle. Entrant’s entry into a Battle must be for the sole and specific purposes of recreation and entertainment only. An Entrant may not enter a Battle for other purposes (including, but not limited to, professional gambling purposes) and may not use systematic methods to enter a Battle. Bankroll U shall be entitled to suspend, limit, or terminate your account if we determine that you are entering, participating, or attempting to enter or participate in a Battle in a manner that does not comport with these Rules. In such circumstances, we may also report such activity to relevant authorities.

Certain Battles may be limited to particular groups or cohorts of otherwise eligible users, as disclosed in the applicable Battle Details. For certain Battles, Bankroll U may establish Battle-specific eligibility criteria, participation cohorts, invitation requirements, skill classifications, capacity limitations, participation limits, and other objective access controls. No such criteria may require a purchase, payment, spend threshold, purchase-based priority access, or other thing of value as a condition of entry.

If you do not meet the eligibility requirements of this Section, then you are not permitted to enter a Battle. If Bankroll U determines that you do not meet or have otherwise violated the eligibility requirements of this Section, in addition to any rights that Bankroll U may have at law or in equity, Bankroll U reserves the right to terminate your account, withhold or revoke the awarding of any Prizes associated with your Bankroll U account, or limit your ability to redeem or otherwise claim Prizes.

Bankroll U reserves the right to verify an Entrant’s eligibility or to adjudicate on any dispute at any time before, during, or after a Battle.

6. PARTICIPATING IN A BATTLE.

1. Active Account. To enter a Battle, an Entrant must create and maintain an account on Bankroll U’s Service. Creation of an account is free, and no purchase is ever required. You may create an account free of charge by downloading or accessing the Service. To enter a Battle, an Entrant must access the Service and sign in.

2. Bankroll U Battles. All Battles are free to enter. Each Entrant may have only one entry in a Battle. Entry is subject to seat availability and any eligibility requirements applicable to the Battle. The applicable entry period will be displayed in the Battle Details. Upon entry into a Battle, each Entrant will receive the same Starting Bankroll for use in that Battle. The Prize Purse and applicable Prize allocations for each Battle will be displayed in the Battle Details. The resolution of a Battle is governed by the Gameplay Rules.

3. Battle Entry and Seat Availability. Battles may have a limited number of available seats. Entry is subject to availability and is not guaranteed. A seat is secured when an Entrant confirms entry through the Service, at which point the Entrant is registered for the Battle and the available seat count is reduced. Confirmed Battle entries do not expire.

4. Verification. An Entrant may be required to successfully complete a know-your-customer verification process (“KYC Process”) facilitated by Bankroll U or its vendor to validate eligibility at various stages. Before withdrawing Prizes, an Entrant must complete the KYC Process. The KYC Process may include, but may not be limited to, providing proof of a valid government-issued photo identification, a selfie, proof of address, validation of social security number, and other information required by Bankroll U or its vendor to verify the Entrant’s identity and eligibility or to comply with applicable tax reporting policies. Your provision of such information is governed by Bankroll U’s Privacy Policy and our vendor’s privacy policies, which you should review.

Tentative winners must comply with these Rules and winning is contingent upon fulfilling all requirements herein. In addition to the KYC Process, a tentative winner may be required to prove their identity, age, or residence and sign and return to Bankroll U, an affidavit/declaration of eligibility, appropriate tax forms, or other documentation, to claim or redeem a Prize (if applicable). If a tentative winner cannot be contacted, fails to respond within the required time, or cannot be verified in a timely manner, they may be disqualified, in which case they forfeit and have no right to the Prize.

Subject to verification of validity, eligibility, and compliance with these Rules and the Terms, applicable Prize(s) will be made available for redemption in the Entrant’s Bankroll U account.

AN ENTRANT IS NOT A WINNER OF A PRIZE, EVEN IF THE SERVICE INDICATES THEY ARE, UNLESS AND UNTIL THE ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED. BANKROLL U WILL NOT ACCEPT SCREENSHOTS OR OTHER PURPORTED EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS.

7. RANKING AND WINNER DETERMINATION. Entrants will be ranked based on the Ranking Metric identified in the applicable Battle Details. The Ranking Metric may vary by Battle and may include ending Battle Bankroll, return on investment (“ROI”), or another metric disclosed in the Battle Details. Winners will be determined based on the official rankings for the Battle and the Prize allocations stated in the Battle Details. Unless otherwise specified in the Battle Details, if two or more Entrants are tied under the applicable Ranking Metric, the applicable Prize will be divided equally among the tied Entrants.

8. PRIZES. The Prize Purse and applicable Prize allocations for each Battle will be displayed in the Battle Details. Prize Purses will be funded by Bankroll U or by a third-party sponsor. We reserve the right to charge handling and/or payment processing fees for processing the redemption of Prizes.

CASH PRIZES AND PRIZE WALLET FUNDS CANNOT BE USED TO ENTER A BATTLE OR TO PURCHASE OR INCREASE A BATTLE BANKROLL.

Purchases or paid activity on the Service do not provide early access to Battle registration or otherwise increase an Entrant’s competitive advantage within a Battle.

Each Entrant will be solely responsible for all other expenses not specifically set forth herein. Each Entrant is solely responsible for all federal, state, and local taxes and other fees associated with their receipt and use of a Prize. Bankroll U will withhold and/or report taxes as required by applicable law and, if so required or requested by Bankroll U, the Entrant must provide accurate information to Bankroll U to allow Bankroll U to comply with applicable tax reporting requirements.

If the awarding of any Prize is challenged or prohibited by any legal authority, Bankroll U reserves the right to take such action with respect to the Prize as required or permitted by applicable law.

No substitution, assignment, or transfer of a Prize is permitted, except by Bankroll U, which reserves the right to substitute the Prize with another Prize of equal or greater value if the Prize cannot be awarded as stated.

9. REDEMPTION OF PRIZES. Winning a Prize is contingent on fulfilling all applicable eligibility and verification requirements. Prize winners must request the release of their Prize solely through the Service. Subject to these Rules, Prizes shall be credited to the Entrant’s withdrawal-only prize wallet within the Service (the “Prize Wallet”) and paid or sent to the bank account associated with the Entrant’s Bankroll U account. We will only communicate with persons using the email address registered and associated with the Bankroll U account.

You agree that we are entitled to conduct any identification and other verification checks that we may reasonably require and/or that are required of us under applicable laws and regulations or by relevant regulatory authorities to permit the redemption of Prizes. Before withdrawing Prizes, an Entrant must successfully complete the KYC Process. Withdrawals may also be subject to applicable fraud-control and tax-reporting requirements. Until all required verification checks are completed, any request you have made for redemption of Prizes will remain pending and Bankroll U is entitled to restrict your Bankroll U account in any manner that we may reasonably deem appropriate.

Bankroll U or its vendors may carry out additional verification procedures in connection with a request to redeem any amount of Prizes. Additional verification procedures may, for example, include requests for and examination of your  social security number, identification documentation (including photo identification), proof of address, tax information, or other information reasonably required by Bankroll U or its vendors. If required KYC, tax, fraud-control, or other verification requirements are not completed, Bankroll U may suspend or delay redemption of the affected Prize until the applicable requirements are satisfied. Where any identification, credit, or other verification check we require cannot be completed to our or our vendor’s satisfaction because you have not provided any document we request from you in the form that we require within thirty (30) days of the date the document was first requested, the redemption request may be disqualified and deemed null and void. In addition, Bankroll U shall be under no obligation to continue with the verification check and may in our sole discretion deactivate your Bankroll U account. Nothing in this paragraph limits Bankroll U’s rights under these Rules with respect to fraud, ineligibility, chargebacks, or erroneous credits. You acknowledge and agree that the time required to process the payment of any redeemed Prize may vary depending on applicable verification, fraud-control, tax-reporting, and payment-processing requirements.

If we mistakenly credit your Prize Wallet with an amount that does not belong to you due to a technical, human, or payment-processing error unrelated to the determination of the official results of a Completed Battle, the amount may be deducted or otherwise corrected by Bankroll U as permitted by applicable law. In the event of an incorrect credit, you are obligated to notify Bankroll U by emailing management@bankrollu.com. Bankroll U reserves the right to deduct Prizes from your Bankroll U account or otherwise charge or adjust your Bankroll U account to correct errors.

It is the responsibility of the Entrant to retain copies of transaction records and these Rules, as the Rules are updated from time to time.

10. PRIZE REDEMPTION LIMITS. Bankroll U reserves the right to establish minimum and maximum Prize redemption thresholds and limits on the number of Prize redemption requests that may be initiated within a specified period, as disclosed in the Service or the Terms. Currently, the minimum Prize redemption threshold is US $25.00, the maximum amount of Prizes that may be redeemed in a single calendar day is US $2,500.00, and an Entrant may initiate only one Prize redemption in a single calendar day. 

Entrants have ninety (90) days to request the release of a Prize through the Service. If an Entrant does not request the release of a Prize through the Service within ninety (90) days after such Prize is credited to the Prize Wallet, Bankroll U reserves the right to designate the applicable Prize Wallet balance as inactive and continue to restrict redemption. Bankroll U may report and remit any unclaimed Prize Wallet balance to the appropriate governmental authority when required by applicable unclaimed-property law. 

11. CONSENT TO COMMUNICATIONS. Each Entrant who participates in a Battle consents to receive communications from Bankroll U for the purpose of administering Battles.

12. PUBLICITY. By entering a Battle or accepting a Prize, you consent to Bankroll U’s and its service providers’ and business partners’ use of your name, username, voice, likeness, image, location, age, photograph, or video in connection with the development, production, distribution and/or exploitation (including marketing and promotion) of the relevant Battle and/or Bankroll U’s future offerings and Bankroll U generally, unless otherwise prohibited by law. Bankroll U and its business partners reserve the right to make public statements about you, on-air, on the internet, or otherwise, prior to, during, or following the Battle. You agree that Bankroll U may announce your name on-air or on any of its websites or any other location at any time in connection with the marketing and promotion of Bankroll U or other offerings operated by Bankroll U. You agree that participation in and (where applicable) the winning of a Prize in connection with a Battle constitute complete compensation for your obligations under this paragraph, and you agree not to seek to charge a fee or impose other conditions on the fulfillment of these obligations.

YOU FURTHER ACKNOWLEDGE AND AGREE THAT BANKROLL U MAY PUBLICLY IDENTIFY YOU AS A WINNER IN CONNECTION WITH A BATTLE, EXCEPT WHERE PROHIBITED BY LAW.

13. RELEASE. By entering a Battle, each Entrant agrees to release and hold harmless Bankroll U and its parent, subsidiary, and affiliated companies, the Prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising, or promoting the Battle, and all of their respective past and present officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright, or other intellectual property rights, property damage, or death or personal injury arising out of or relating to an Entrant’s participation in the Battle or acceptance, use, or misuse of Prizes.

14. ENTRANT’S PERSONAL INFORMATION. Any personally identifiable information collected in connection with an Entrant’s participation in a Battle and/or redemption of Prizes will be collected and used by Bankroll U and its designees for the administration and fulfillment of the Battle and as otherwise described in these Rules and Bankroll U’s Privacy Policy.

15. ADDITIONAL TERMS AND CONDITIONS.

1. Bankroll U’s Decisions. Bankroll U’s decisions as to the administration and operation of Battles, including eligibility, winners, Prizes, and compliance with these Rules and the Terms, are final and binding, subject to these Rules and applicable law.

2. Battle and/or Rules Modification. Bankroll U reserves the right to cancel, suspend, and/or modify a Battle or these Rules, or any part of a Battle or these Rules, if fraud, technical failures, data-feed or settlement errors, legal or regulatory requirements, or other circumstances beyond Bankroll U’s reasonable control impair the integrity or proper functioning of the Battle. Any notice regarding cancellation, suspension, and/or modification will be posted by Bankroll U through the Service or on its Website, as appropriate. In the event of modifying these Rules, an Entrant’s continued participation in Battles constitutes acceptance of the modified Rules. Nothing in this Section permits Bankroll U to reopen or rescore a Completed Battle except as provided in Section 15(f).

3. Additional Considerations for Battle Participation. Bankroll U shall not be liable for any problems that occur during the entry process, including, without limitation, late, delayed, undelivered, or misdirected entries, and shall not have any obligation to advise you of an invalid or unsuccessful entry.

4. Disqualification of Individuals/Entrants. Bankroll U reserves the right to disqualify any individual found to be tampering with the entry process or operation of a Battle, violating these Rules, or engaging in conduct that compromises the integrity or fair operation of a Battle.

Use of any automated system, bot, script, or other unauthorized means to enter or participate in a Battle is prohibited. An Entrant may not use multiple accounts, permit another person to participate through the Entrant’s account, participate through another person’s account, circumvent or attempt to circumvent applicable geolocation or eligibility controls, or coordinate with other users for the purpose of manipulating a Battle or obtaining an unfair competitive advantage. Any entry or participation obtained or conducted in violation of this Section may be disqualified, subject to Section 15(f) with respect to a Completed Battle.

If you provide false information relating to a Battle concerning your identity, residency, mailing address, telephone number, email address, account ownership, or other information required for participation in a Battle, you may be disqualified from the Battle.

5. Consequences of Undermining a Battle. Any deliberate attempt to undermine the legitimate operation of a Battle may be considered a violation of criminal or civil law. In such cases, Bankroll U reserves the right to seek damages from the responsible party to the fullest extent permitted by law. Failure to enforce any provision of these Rules does not constitute a waiver of that provision.

6. Resolution of Errors. Battle standings and results remain unofficial while a Battle is in “Active” or “Pending Completion” status. During that period, Bankroll U may correct scoring, calculation, settlement, data-feed, display, or other errors affecting the Battle and may void the Battle if an error materially affects its integrity or results.

Battle settlement and validation are based on third-party event data (“Event Data”) and Bankroll U’s settlement logic. Initial validation occurs when Event Data becomes available and is used to settle associated Picks. After a Battle concludes, Bankroll U performs a second validation using fresh Event Data and reruns the settlement logic. Any discrepancy between the initial and second validation may be subject to manual investigation before the Battle is marked Completed.

Once a Battle is marked “Completed,” the Battle results are official and the applicable Prizes are distributed. Except as required by applicable law, a Completed Battle will not be rescored or reopened based on scoring, calculation, settlement, data-feed, display, or other Battle-result errors discovered after completion. Nothing in this Section limits Bankroll U’s rights under these Rules with respect to fraud, ineligibility, chargebacks, or a separate payment or account-crediting error.

16. DISPUTES. Section 22 of Bankroll U’s Terms is incorporated herein by reference with the same force and effect as though fully set forth herein. By agreeing to these Rules, you agree to be bound by the dispute resolution and arbitration provisions contained in Section 22 of Bankroll U’s Terms.

17. THIRD-PARTY SPONSORS. A Battle may be sponsored by Bankroll U or by a third-party sponsor. All Battles offered through the Service are administered by Bankroll U. Neither Apple, Inc. nor Google, Inc. is a sponsor of any Battle. Any questions, complaints, or disputes concerning a Battle should be directed to Bankroll U and not to Apple, Inc. or Google, Inc.
